AI Usage Terms | TradeVae

1. Scope of AI Features

The Platform includes various AI-powered features and services, including but not limited to:

Vae AI Chat Assistant: An AI-powered investment assistant that provides conversational market analysis, answers questions, and assists with investment research
AI Stock Analysis: Automated analysis of stocks, including fundamental analysis, technical indicators, and market sentiment synthesis
AI Earnings Predictions: AI-generated predictions and forecasts regarding company earnings and financial performance
AI Smart Screener: AI-powered stock screening tools that identify investment opportunities based on user-defined criteria
AI Alerts and Signals: Automated alerts and trading signals generated using AI algorithms
AI Portfolio Manager: AI-assisted portfolio analysis and recommendations
AI Thematic Insights: AI-generated thematic investment analysis and trends
AI News Analysis: AI-powered news aggregation, sentiment analysis, and intelligent news filtering
AI Technical Analysis: AI-generated technical analysis and chart interpretations
State of Market Reports: AI-generated market condition reports and analysis

These AI Terms apply to all AI features, regardless of whether they are accessed through the web interface, mobile application, API, or any other method. We may add, modify, or discontinue AI features at any time without prior notice.

2. Understanding AI Limitations

CRITICAL DISCLAIMER: AI systems, including those used on the Platform, have inherent limitations and may produce inaccurate, incomplete, misleading, or erroneous outputs. You acknowledge and agree that:

AI Outputs Are Not Guaranteed: AI-generated content, analysis, predictions, and recommendations are not guaranteed to be accurate, complete, timely, or reliable
AI Hallucination Risk: AI systems may "hallucinate" or generate information that appears factual but is incorrect, fabricated, or not based on actual data
Data Dependency: AI outputs depend on the quality, completeness, and timeliness of input data. Stale, incomplete, or inaccurate input data will result in flawed AI outputs
Market Data Delays: Market data used by AI systems may be delayed, incomplete, or subject to errors from third-party data providers
No Future Prediction Guarantee: AI predictions about future market performance, stock prices, earnings, or other financial outcomes are estimates based on historical patterns and data analysis. Past patterns do not guarantee future results
Context Limitations: AI systems may lack full context, misunderstand user intent, or provide responses that are not appropriate for your specific situation
Technical Limitations: AI systems may experience errors, bugs, downtime, or performance issues that affect output quality
Model Updates: AI models may be updated, modified, or replaced, which may change the nature, quality, or behavior of AI outputs

You must independently verify all AI-generated information before making any investment decisions or taking any action based on AI outputs.

3. AI Is Not Investment Advice

IMPORTANT: AI-generated content, analysis, predictions, recommendations, and outputs (collectively, "AI Outputs") are NOT investment advice, financial advice, legal advice, tax advice, or any form of professional advice.

TradeVae is NOT:

A registered investment advisor
A broker-dealer
A financial planner
A registered financial advisor
Any other regulated financial services provider

AI Outputs are provided for informational and educational purposes only. They are not personalized to your financial situation, risk tolerance, investment objectives, or tax circumstances. AI Outputs do not constitute:

Recommendations to buy, sell, or hold any security
Personalized investment advice
Guarantees of investment performance
Assurances of accuracy or reliability

You are solely responsible for all investment decisions and actions you take based on AI Outputs. You should consult with qualified financial, legal, and tax professionals before making any investment decisions.

4. User Responsibilities

When using AI features on the Platform, you agree to:

Verify Information: Independently verify all AI-generated information, data, and analysis before relying on it for any purpose
Exercise Independent Judgment: Use your own judgment and analysis when evaluating AI Outputs. Do not blindly follow AI recommendations or predictions
Understand Limitations: Acknowledge and understand the limitations of AI systems, including the risk of errors, hallucinations, and inaccuracies
Consult Professionals: Consult with qualified financial, legal, and tax professionals before making investment decisions, especially for significant financial matters
Use Appropriate Discretion: Exercise appropriate discretion when using AI features, recognizing that AI Outputs may not be suitable for your specific situation
Report Errors: Report any suspected errors, inaccuracies, or issues with AI Outputs to us through our support channels
Comply with Laws: Use AI features in compliance with all applicable laws, regulations, and the Platform's Terms of Use
Protect Account Security: Maintain the security of your account credentials and prevent unauthorized access to AI features

You acknowledge that failure to exercise appropriate caution and independent judgment when using AI features may result in financial losses, for which TradeVae is not responsible.

5. Prohibited Uses of AI Features

You agree NOT to use AI features for any of the following prohibited purposes:

Illegal Activities: Use AI features for any illegal purpose or in violation of any applicable laws or regulations
Market Manipulation: Use AI features to manipulate markets, create false market signals, or engage in fraudulent trading activities
Reverse Engineering: Attempt to reverse engineer, decompile, or extract AI models, algorithms, prompts, or system instructions
Automated Abuse: Use automated systems, bots, or scripts to abuse AI features, generate excessive requests, or circumvent usage limits
Data Scraping: Scrape, harvest, or extract AI Outputs in bulk for commercial purposes without our express written permission
Misrepresentation: Misrepresent AI Outputs as your own original analysis, professional advice, or guaranteed predictions
Harmful Content: Use AI features to generate, request, or distribute harmful, offensive, defamatory, or illegal content
Security Violations: Attempt to breach, hack, or compromise the security of AI systems or infrastructure
Competitive Intelligence: Use AI features to gain competitive intelligence about TradeVae's business, technology, or operations
Resale or Redistribution: Resell, redistribute, or commercially exploit AI Outputs without our express written permission
Training Competing AI: Use AI Outputs to train, fine-tune, or improve competing AI systems or services

Violation of these prohibitions may result in immediate suspension or termination of your account and access to AI features, and may subject you to legal liability.

6. AI-Generated Content Ownership

TradeVae Ownership: All AI Outputs, including but not limited to AI-generated analysis, predictions, recommendations, chat responses, and reports, are the property of TradeVae or its licensors. AI Outputs are protected by copyright, trademark, and other intellectual property laws.

Limited License: Subject to your compliance with these AI Terms and the Platform's Terms of Use, TradeVae grants you a limited, non-exclusive, non-transferable, revocable license to:

Access and view AI Outputs through the Platform for your personal, non-commercial use
Use AI Outputs for your own investment research and decision-making purposes

Restrictions: You may NOT:

Copy, reproduce, or distribute AI Outputs in bulk
Resell, sublicense, or commercially exploit AI Outputs
Modify, create derivative works from, or reverse engineer AI Outputs
Remove copyright notices, trademarks, or other proprietary markings from AI Outputs
Use AI Outputs to train competing AI systems

User Content: If you provide input, prompts, or data to AI features (collectively, "User Input"), you retain ownership of your User Input. However, by providing User Input, you grant TradeVae a worldwide, royalty-free, perpetual, irrevocable license to use, process, and incorporate your User Input into AI systems and outputs for the purpose of providing and improving AI features.

7. Third-Party AI Services

The Platform's AI features may utilize third-party AI services and technologies, including but not limited to OpenAI's API and models. By using AI features, you acknowledge that:

Third-Party Services: AI features may rely on third-party AI providers, APIs, and services that we do not control
Third-Party Terms: Your use of AI features may be subject to third-party terms of service, privacy policies, and usage policies (e.g., OpenAI's usage policies)
Service Availability: Third-party AI services may experience downtime, errors, rate limits, or service interruptions that affect Platform AI features
Data Processing: User Input and data may be processed by third-party AI services in accordance with their privacy policies and terms
No Endorsement: Reference to third-party AI services does not constitute an endorsement, and we are not responsible for third-party AI service performance, accuracy, or availability
Changes to Providers: We may change, replace, or discontinue use of third-party AI services at any time without notice

OpenAI: The Platform uses OpenAI's API and models. Your use of AI features is subject to OpenAI's usage policies and terms. For more information, see OpenAI's Policies.

8. Data Processing and AI Training

User Input Processing: When you use AI features, your User Input (including prompts, questions, and data you provide) may be:

Processed by AI systems to generate responses and outputs
Transmitted to third-party AI service providers (e.g., OpenAI) for processing
Stored temporarily for the purpose of providing AI features and improving service quality
Used to improve AI features, models, and Platform functionality (subject to our Privacy Policy)

Privacy: Our collection, use, and processing of your data in connection with AI features is governed by our Privacy Policy. Please review the Privacy Policy to understand how we handle your data.

Third-Party Data Processing: Third-party AI service providers (e.g., OpenAI) may process your User Input in accordance with their own privacy policies and terms. We are not responsible for third-party data processing practices.

Sensitive Information: Do not provide sensitive, confidential, or proprietary information to AI features unless you are comfortable with such information being processed by AI systems and potentially shared with third-party AI service providers.

9. AI Feature Availability and Modifications

No Guarantee of Availability: We do not guarantee that AI features will be available at all times, uninterrupted, or error-free. AI features may be:

Temporarily unavailable due to maintenance, updates, or technical issues
Subject to rate limits, usage quotas, or access restrictions
Affected by third-party AI service outages or limitations
Modified, updated, or discontinued at any time without prior notice

Feature Changes: We reserve the right to:

Modify, update, or change AI features, models, algorithms, or system behavior
Add new AI features or remove existing AI features
Change AI model versions, providers, or underlying technology
Implement usage limits, rate limits, or access restrictions
Discontinue AI features entirely

No Notice Required: We are not obligated to provide advance notice of changes to AI features, except as required by law or as specified in our Terms of Use.

10. Limitation of Liability for AI Features

NO LIABILITY FOR AI OUTPUTS: To the maximum extent permitted by law, TradeVae, its affiliates, licensors, and service providers shall NOT be liable for any losses, damages, or harm arising from:

Your use of or reliance on AI Outputs, including but not limited to:
- Financial losses or trading losses
- Investment decisions based on AI Outputs
- Inaccurate, incomplete, or misleading AI Outputs
- AI hallucinations or errors
- Delayed, stale, or outdated AI Outputs
AI feature unavailability, downtime, or service interruptions
Changes to AI features, models, or system behavior
Third-party AI service failures, errors, or limitations
Data loss, corruption, or unauthorized access related to AI features
Any indirect, incidental, special, consequential, or punitive damages

Liability Cap: If, despite the foregoing, TradeVae is found liable for damages related to AI features, our total liability shall not exceed the amount you paid to TradeVae in the twelve (12) months preceding the claim, or $100, whichever is greater.

No Warranties: AI features are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless TradeVae, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of AI features in violation of these AI Terms or the Platform's Terms of Use
Your reliance on AI Outputs that results in losses or damages
Your misuse, abuse, or prohibited use of AI features
Any claims by third parties related to your use of AI features or AI Outputs
Your violation of any applicable laws or regulations in connection with AI features

12. Updates to AI Usage Terms

We may update these AI Usage Terms from time to time to reflect changes in AI features, legal requirements, or our practices. We will notify you of material changes by:

Updating the "Last Updated" date at the top of these AI Terms
Posting a notice on the Platform (for significant changes)
Sending an email notification to registered users (for material changes affecting your rights)

Your continued use of AI features after changes to these AI Terms constitutes acceptance of the updated terms. If you do not agree with the updated terms, you must stop using AI features and may terminate your account in accordance with the Platform's Terms of Use.

13. Relationship to Other Terms

These AI Usage Terms supplement and are incorporated into the Platform's Terms of Use. In the event of a conflict between these AI Terms and the Terms of Use, these AI Terms shall govern with respect to AI features, and the Terms of Use shall govern with respect to all other matters.

These AI Terms also work in conjunction with our Privacy Policy, which governs how we collect, use, and protect your data in connection with AI features.

14. Severability and Entire Agreement

If any provision of these AI Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. These AI Terms, together with the Platform's Terms of Use and Privacy Policy, constitute the entire agreement between you and TradeVae regarding your use of AI features.
